This is your opportunity to play a critical role in high-profile and fast-paced strategic projects that make headlines (such as American Express’s acquisitions of Kabbage and Resy) and in the oversight of American Express investments, providing Compliance expertise and perspective to inform senior leadership.

You will be a key member representing compliance on enterprise-level stakeholder teams that review American Express’s potential acquisitions and start-up investments and overseeing its ongoing relationship with one or more controlled entities, including American Express Global Business Travel (GBT).

For Corporate Development, the team leads regulatory compliance diligence and integration on major deals, such as mergers & acquisitions (M&A), divestitures, and joint ventures, and diligence of venture capital investments in start-ups, while also acting as Compliance Officer for the central Corporate Development team and American Express Ventures, its venture capital arm.

The team also acts as primary Compliance liaison and subject matter experts for American Express’s ongoing controlled entity (CE) oversight of American Express Global Business Travel, a separate company publicly traded on the New York Stock Exchange. This includes liaising with GBT counterparts on ongoing compliance risk management and supporting American Express’ oversight of GBT’s own M&A due diligence and integration activities.

In this role, most projects will focus on bringing something entirely new to American Express, whether a product, a company, or a regulation.

Building relationships, thinking strategically, learning quickly, and drawing on your own related experiences are critical to understanding a project, challenging assumptions, collaborating effectively, and driving stakeholders to solutions.

Responsibilities

Corporate Development

  • Owning compliance diligence of potential venture capital investments, including researching products/regulatory environment, drafting diligence questions, reviewing written responses and materials, conducting interviews with target’s C-suite management, and preparing written analysis and recommendations on the target’s compliance program and risks.

  • Coordinating and leading wider compliance teams in diligence of larger or more complex transactions, ensuring adherence to process and completeness of reviews.

  • Engaging outside consultants and counsel, as needed, for specialized services and advice.

  • Ensuring clear and well-organized documentation of findings, analysis, and recommendations.

  • Maintaining and delivering reporting for senior compliance leaders and committees.

  • Supporting ongoing compliance risk assessment process for the Corporate Development team itself, including reviews of applicability of regulations, evaluation of control adequacy/strength, and oversight of action plans.

  • Ongoing improvements to our team’s procedures, guidance for other stakeholders and information management strategy.

Controlled Entity Oversight, focused on Global Business Travel

For GBT and any other in-scope controlled entities:

  • Provide Compliance input and support to governance bodies including, but not limited to, the Management Compliance Coordination Committee (MCCC) and Board of Directors’ Risk & Compliance Committee, including briefings to participating American Express leadership.

  • Review and react to on-occurrence, daily, weekly, monthly, and quarterly reporting provided by controlled entity; execute the follow-up and resolution of inquiries; and call out internal control breakdowns to Compliance leadership and the Controlled Entity Monitoring Committee.

  • Oversight of controlled entity’s M&A due diligence, integration planning, and remediation activities and preparing American Express leadership for committee and board reviews.

Qualifications

  • At least 4 years of compliance, risk management, regulatory, or legal experience with a large organization, regulatory body, financial institution, consulting firm, or law firm including substantial experience in one or more of the following areas: design or operation of a compliance program; compliance advisory to product or business teams; compliance consulting; compliance risk assessments; regulatory advice; mergers & acquisitions; venture capital firms or investments; FinTech or other emerging technology companies.

  • Experience with compliance risk management practices and methodologies, incl. risk assessment, with a preference for experience with American Express compliance and control practices.

  • Experience leading or coordinating cross-functional or broad stakeholder teams of peers, driving towards goals in time-sensitive and rapidly changing situations.

  • Experience with due diligence, investigations, research, or other roles that required interrogating provided information to identify gaps, issues, and risks, with goal of distilling raw information into clear summary of key issues or narrative fact pattern.

  • Demonstrated ability to become quickly authoritative in one or more substantive regulatory areas is valued.

  • Well-organized and proactive, with ability to act independently to drive results, with a preference for candidates who have formal project management experience.

  • Able to effectively manage multiple projects and priorities simultaneously.

  • Exceptional communication skills, both written and in-person, with the comfort and ability to produce and deliver updates that are ready for senior management.

  • Confidence and maturity to deliver credible challenge to peers and senior leaders across all levels of management.

  • Advanced skills with Microsoft Office 365 products, especially Excel, Power Point and Share Point, and/or a demonstrated ability to quickly learn new technical skills.

  • Bachelor’s degree is required; advanced degree or equivalent experience is a plus.

Qualifications

Salary Range: $90,000.00 to $165,000.00 annually bonus benefits
